Job Requirements / Description
Within the M&A and Corporate Finance team, the Director M&A reports to the Vice President, Head of M&A and Corporate Finance and provides strategic support for the execution of M&A, licensing and other external growth transactions as well as for other investment and corporate finance projects. He/She works on assigned projects with a high level of autonomy and responsibility. Being involved in complex projects and transactions requires a high degree of autonomy, judgement, proactiveness, initiative to come up with solutions. He/She has regular interactions with senior employees of the company, including members of the Executive Leadership Team.
Main responsibilities / job expectations
Contribute to execution of M&A, licensing and other external growth transactions
Responsible for all financial workstreams in M&A, licensing and other external growth projects:
Preparation of business cases in collaboration with operational teams (e.g., R&D, Global Product & Portfolio Strategy, Commercial Operations, Technical Operations)
Transaction financial modeling: valuation analyses, transaction financial impact analyses
Joint management of due diligence process, coordination of financial due diligence workstreams (e.g., tax, audit, treasury, consolidation, insurance) in collaboration with Finance teams
Coordination of financial workstreams during transaction execution (e.g., tax structuring, tax treatment, accounting treatment, financing) in collaboration with Finance functions
Participation in review of transaction legal documentation
Preparation of materials for validation of transactions by the Executive Leadership Team and by the Board of Directors
Responsible for financial model templates and databases (e.g., M&A and licensing transactions)
Contribution to review and financial assessment of M&A and other external growth opportunities
Screening of potential external growth opportunities
Coordination of review of opportunities presented by investment banks
Deliver corporate finance expertise and support Ipsen’s transformation
Support Strategic Alliances in alliances renegotiation projects
Contribute to Strategy & Transformation projects by bringing M&A and corporate finance expertise as well as valuation capabilities
Support R&D in portfolio management by brining corporate finance expertise as well as valuation capabilities
Contribute to other organic growth projects by assessing the potential for value creation and coordinating the finance workstreams
Contribute to internal projects requiring corporate finance expertise (e.g., annual impairment tests, intra-group legal restructuring)
Knowledge, abilities & experience
Education / Certifications:
Graduate from a top-tier business school or engineering school
Experience:
Background in mergers and acquisitions: minimum of 5-year experience within the M&A department of a corporate or within the transaction services / corporate finance department of an audit firm or within an investment bank or private equity fund
Exposure to and acquaintance with the biopharma industry
