Legal at Hexa

Hexa is at the crossroads of a venture builder both in the US and Europe and an investment firm. Hence the legal agenda spans from company inception and related governance and legal issues to board level and M&A related matters. Hexa’s legal team is constantly looking for ways to innovate and increase organization efficiency to keep the team ahead of the market.

Our mission is to support Hexa’s growth and its start ups on a wide array of topics:

Internal Hexa (financial holding) matters: primarily corporate, M&A, tax, regulatory, but also financing, labor law, intellectual property, data privacy.

Portfolio-related (i.e., start ups) matters: coordinating fundraisings in France and in the US (Seed, Series A, B, C,...), exits, M&A – 10+ deals per year.

Launching new start ups:

  1. Advise founders on legal and regulatory issues relating to SaaS, fintech, and AI e.g. financial and fund formation regulation (AIFM directive), health regulations, payment regulation (DSP2), intellectual property etc.
  2. Assist in their day to day needs, e.g. incorporation in France and in the US, trademark registration, set up of the BSPCE scheme, drafting terms and conditions, privacy policies, and other corporate topics.
  3. Coaching/training founders and teams on legal topics such as fundraisings and term sheets, BSPCE, corporate topics, etc.

As a Legal Counsel, you will work directly with Grégoire, General Counsel (former lawyer at the Paris Bar) to support Hexa’s financial strategy and our start ups’ legal needs.

Responsibilities

  • Supporting the company’s financing and M&A strategy and special corporate and venture projects (corporate, regulatory, tax).
  • Structuring and implementing employee incentive mechanisms and management packages.
  • Drafting, reviewing and negotiation of various agreements: fundraising term sheets (Seed, Series A, B, C, etc.), shareholders agreement, SAFE/BSA AIR, corporate documentation in the context of a share capital increase, SPA, BSPCE/ESOP.
  • Assisting the new projects on their legal and contractual set-up: commercial contracts, terms and conditions, privacy policies, etc regulatory challenges.
  • Trainings: preparation of the founders’ legal training sessions.
  • Day to day legal processes: IP filings, incorporations, insurance etc.

Requirements

  • Pragmatic, problem solver, fast executor and rigorous.
  • A first strong professional experience in a law firm.
  • Fluency in English and French required (communication and legal drafting).
  • Knowledge of corporate law and transactional practices is a plus but being a generalist is a requirement.
  • Ability to provide concise, commercially driven legal advice.
  • Personality is key: good sense of humor, flexibility, ability to stand up for your contrarian opinions, strong team spirit.
